TERMS AND CONDITIONS OF THE SITE "LEAD2TEAM".

1. GENERAL INFORMATION

The following terms and conditions ("Terms and Conditions") govern the use of our website and the purchase of digital business card software license, as well as web assistant and review generator services offered through the site. By accessing our website and using our services, you agree to be bound by these terms and conditions.

From that moment, these Terms and Conditions constitute a binding agreement between you, either personally or on behalf of an entity, and Lead2Team Technologies S.L. ("Lead2Team"), in connection with your access to and use of the website ("the Site"). https://www.lead2team.com. 

By using and registering on the website, you represent that you are (18) years of age or older and that you have the capacity to read and understand these Terms and Conditions, you represent and warrant that you have read and understood them, as well as our Privacy Policy and agrees to be bound by them.

2. SERVICES OFFERED. PURPOSE OF SITE.

Lead2team is a limited company dedicated to the provision of services consisting in the design, development, production, distribution and marketing of software applications. In particular, and through the site, the commercialization of digital business cards, web assistant and review generator for companies.

3. GENERAL CONDITIONS OF USE OF THE WEBSITE AND ITS CONTENTS

The access and use of the LEAD2TEAM Website, as well as the access and use of the Contents will be subject to the present General Conditions. The use of any web page owned by LEAD2TEAM or of the Contents attributes the condition of user and implies the full and unreserved acceptance by the user of all the General Conditions in force at each moment in which the user accesses the same. 

LEAD2TEAM reserves the right to modify these Terms and Conditions at any time. We suggest that you review these Terms and Conditions frequently to be aware of their scope and any modifications that have been made. By accessing the Websites and/or the Contents owned by LEAD2TEAM after the publication of the notice of such modifications, alterations or updates, you agree to comply with the new terms. The user is aware that the access and use of the Website and/or the Contents is done under his sole and exclusive responsibility.

4. USER'S RESPONSIBILITY FOR THE USE OF THE SITE AND/OR CONTENT.

Under no circumstances may the user modify or delete LEAD2TEAM's existing identification data. The user may only access the services and materials of the Website and/or the Contents through the means or procedures that have been made available for this purpose on the Website itself and/or the Contents, or that are commonly used on the Internet for this purpose, provided that they do not involve violation of Intellectual/Industrial Property rights, or any type of damage to the Website and/or the Contents, or to its information or to the services offered. 

The user undertakes to use the services, information and materials of the Website and/or the Contents of LEAD2TEAM in accordance with the Law and these General Conditions. 

In no case shall the use of the Website and/or the Contents by the user infringe current legislation, morality, good customs and public order, and shall in all and/or the Contents. 

The user will be able to: 

• Access and browse free of charge, and without the need for prior authorization, the materials and services of the Website and/or the Contents, without prejudice to the requirement of prior registration and/or acceptance of Particular Conditions with respect to certain specific services and contents, as determined in these General Conditions or, as the case may be, in the Particular Conditions of such services. 
• Use the services and materials of the Website and/or the Contents for private use only.

Under no circumstances may the user carry out the following activities: 

a) Disseminate content or propaganda of a racist, xenophobic, pornographic, obscene, denigratory nature or that incites or promotes the commission of criminal, violent, defamatory or degrading acts on the grounds of age, sex, religion or beliefs; or that makes, promotes or incites directly or indirectly to the apology of terrorism or that is contrary to human rights and fundamental rights and freedoms of third parties, to current legislation, morality, good customs and public order, or with harmful purposes that may harm, damage or impede in any way, access to them, to the detriment of LEAD2TEAM or third parties.

 b) Perform acts contrary to the Intellectual and/or Industrial Property rights of their legitimate owners. 

c) Cause damage to the computer systems of LEAD2TEAM, its suppliers or third parties and/or introduce or disseminate computer viruses, harmful code or software or other types of systems that may cause damage or alterations in computer systems, or unauthorized alterations of the contents, programs or systems accessible through the materials or services of the Website and/or the Contents, or in the information systems, files and computer equipment of the users thereof, or unauthorized access to any materials and services of the Website and/or the Contents. 

d) Transmit advertising by any means and, in particular, by sending electronic messages, when the sending of the advertising has not been requested or authorized by the recipient. 

e) Use the Website and/or the Contents, in whole or in part, to promote, sell, hire, divulge advertising or information of your own or of third parties without prior written authorization from LEAD2TEAM, or include hyperlinks on your private or commercial web pages to the Website and/or the Contents, unless expressly authorized by LEAD2TEAM. 

f) Use the services and materials offered through the Web Site and/or the Contents in a manner contrary to the General Conditions and/or the Particular Conditions that regulate the use of a specific service and/or content, and to the detriment or detriment of the rights of the rest of the users. 

g) Remove or modify in any way the protection or identification devices of LEAD2TEAM or its legitimate owners that may contain the Website and/or the Contents, or the symbols, logos or trademarks that LEAD2TEAM or the legitimate third party owners of the rights incorporate into their creations and that may be the subject of intellectual or industrial property. 

h) Include, without prior written authorization by LEAD2TEAM, in web pages and/or applications under the responsibility or property of the user or unauthorized third parties "metatags" corresponding to trademarks, logos, trade names or distinctive signs owned by LEAD2TEAM, or use trademarks, logos, trade names, or any other identifying sign that is subject to intellectual or industrial property rights, without the prior express written authorization of its legitimate owner.

i) Include in a website and/or applications of its responsibility or property a hyperlink that generates a window or session of the navigation software used by a user of its website, in which trademarks, trade names or distinctive signs of its property are included and through which the Website and/or the Contents are shown. 

The User will be liable to LEAD2TEAM, or to third parties, for any damages of any kind that may be caused as a result of breach or non-compliance, directly or indirectly, of these General Conditions. LEAD2TEAM will at all times ensure respect for the current legal system, and reserves the right to deny at its discretion, totally or partially, at any time and without prior notice, the access of any user to the Website and/or the Contents, when one or more of the circumstances described in this clause occur.

5. REGISTRATION AND USER ACCOUNT

In order to make a purchase, users must register and create a user account. When registering, the User must provide truthful and updated information. The responsibility for maintaining the confidentiality of the password and account rests solely with the User.

By using the Site, you represent and warrant that all registration information you submit will be true, accurate, current and complete, you will maintain the accuracy of such information and promptly update such information as necessary, that you have the necessary authority and legal capacity to enter into these terms and conditions and to abide by them, that you are of legal age, that you will not access the Site through automated or non-human means, whether through Bots, script or the like, and not to use the Site for any illegal or unauthorized purpose, and your use of the Site will not violate any applicable law or regulation.

Lead2Team reserves the right to remove, reclaim or change any identifier that the User selects if we determine, in our sole discretion, that such username is inappropriate, obscene or otherwise violates these Terms and Conditions of Use. Similarly, if false, inaccurate, not current or incomplete information is provided, Lead2Team reserves the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

6. FREE TRIAL AND PURCHASE PROCESS

The user is entitled to a free trial of the service when registering for the first time on the platform. The trial period of fifteen (15) days starts from the date of registration. During this period, the user will be able to use all the functionalities of the service free of charge.

If the user does not subscribe to any service, access to his/her account will be terminated at the end of the trial period. The user may subscribe to a paid plan at any time. Once the subscription has been initiated, it will be automatically extended and the user will be charged the fee corresponding to the selected plan. The user may not cancel the subscription or request a refund of the amount paid, since a free trial period has already been granted. 

The purchase process consists of a subscription to the chosen product, after the trial period has elapsed, commencing your subscription at such time, (each, a "Service Start Date"), and will automatically renew on the first day after the end of the subscription period (each, a "Renewal Start Date") until terminated in accordance with these Terms and Conditions.

By subscribing to one of the chosen products, you hereby consent that the chosen package will automatically renew on a recurring monthly or annual basis, charged by the chosen payment method, and you agree that your account will be subject to this automatic renewal feature unless the subscription is cancelled prior to the renewal start date.

If you cancel your subscription before the renewal start date, you may continue to use your subscription until the end of your current subscription period, and your subscription will not be renewed after the expiration of your current subscription period.

However, you will not be entitled to a pro rata refund of any portion of the subscription fee paid for the current subscription period.

At the time of renewal, if Lead2Team does not receive payment from your payment provider, you agree that Lead2Team may terminate or suspend your subscription, and continue to attempt to collect from your payment provider until payment is received.

We reserve the right to correct any error or mistake in the prices, even if we have already requested or received payment, when they are obvious and manifest errors, which can be easily recognized by the average consumer as an error, not forcing these errors to leave Lead2Team the product at that price, being able to modify or correct them through communication to the customer.

7. PRICE AND PAYMENT

a.-) Price

The prices of the products and/or services offered on this website will be expressed in euros (€) and will be clearly displayed next to each product or service. These prices are shown without taking into account applicable taxes, which will be detailed at the time of payment.

VAT will be the applicable tax in mainland Spain and the Balearic Islands, in accordance with current legislation.

For users making purchases from the Canary Islands, the Canary Islands General Indirect Tax (IGIC) will be applied instead of VAT. The applicable IGIC rate will be determined according to the category of the product or service purchased, in accordance with current legislation.

Before proceeding to payment on our platform, the system will automatically adjust the prices shown, applying VAT or IGIC, or the corresponding tax. This modification will be reflected in the final price breakdown before the order confirmation.

b-) Payment

Payment for products/services will be made through the payment methods accepted by the website, which may include credit or debit card and direct debit. The charge will be made in Euros, payable at the time of subscription of the plan or add-on. 

The charge must be authorized by the customer at the time of the transaction.

Payments are processed through a third party certified in accordance with PCI Level 1 requirements. Therefore, Lead2Team does not have access to payment information, nor does it subsequently store such information.

You are responsible for keeping your payment information up to date, ensuring that it is accurate and current. In the event that a payment is not processed because you fail to comply with the obligations set forth in this section, your access to or use of the Services may be suspended or terminated. Therefore, you warrant and represent that you will only submit payment information that is valid and that you are authorized to use.

In the event that an error is detected in the price of the products or services, the company will contact the customer to inform them of the error and the correct price, offering the option to confirm the purchase at the correct price or cancel the order with a full refund of the amount paid.     

c.- Invoicing and reimbursements.

Services are billed in advance, on a monthly or annual basis, depending on the contracted period. You expressly authorize us to issue electronic invoices for services.

Once the payment has been made, the customer will receive a confirmation of the purchase via e-mail confirmed when creating the user account, detailing the products or services purchased, the final price paid (including the breakdown of the tax applied) and the date of the transaction.

Fees are non-refundable. We will not refund any amounts or give any credit for contracts that are cancelled before reaching their end date (including any add-ons you may have purchased at the time). 

8. INTELLECTUAL PROPERTY

The contents of the products, including, without limitation, text, graphics and logos, service marks, are protected by intellectual property rights and are the property of Lead2Team or, where applicable, its licensors. No license or right of use is granted beyond that which is strictly necessary for the use of the services, and we reserve all rights not expressly granted to you in the site, content and trademarks.

Except as expressly provided in these Terms and Conditions, no part of the Site or any content or mark may be used, copied, reproduced, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise exploited for any commercial purpose without Lead2Team's express prior written permission. 

If you violate any of the above restrictions, your right to use the Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

9. LIMITATION OF LIABILITY.

LEAD2TEAM is exempt from any liability for damages of any kind and nature in the following cases: 

a) For the impossibility or difficulties of connection used to access the Web Site and/or the Contents, interruptions of the service, delays, errors, malfunction of the same regardless of the type of connection or technical means used by the user. 

b) For the interruption, suspension or cancellation of access to the Website and/or the Contents, as well as for the availability and continuity of the operation of the Website and/or the Contents or the services and/or elements thereof, when this is due to the interruption of the service due to technical maintenance of the Website and/or the Contents, or due to a cause beyond the scope of control of LEAD2TEAM, or due to the services of the information service providers. 

c) For willful or negligent actions of the user, or that have their origin in causes of force majeure and any others that are beyond the control of LEAD2TEAM. 

d) Attacks by hackers or specialized third parties on the security or integrity of the computer system, provided that LEAD2TEAM has adopted all existing security measures according to its technical possibilities. 

e) For damages that may be caused by information, content, products and services provided, communicated, hosted, transmitted, displayed or offered by third parties outside LEAD2TEAM, including service providers of the information society, through a website that can be accessed through a link on this site. 

f) For any damage or injury to the user's software or hardware arising from access to the Website and/or LEAD2TEAM Contents or from the use of the information or elements or applications contained therein. 

g) For the suitability, reliability, availability, timeliness or accuracy of the information or services contained in its Web Site and/or in the Contents, nor for direct or indirect damages in connection with the use of the information or elements contained therein. 

The user of the Website and/or the Contents shall be personally liable for damages of any nature caused to LEAD2TEAM directly or indirectly, for the breach of any of the obligations arising from these General Conditions or, where appropriate, the Special Conditions. 

In any case, whatever the cause, LEAD2TEAM will not assume any liability, whether for direct or indirect damages, consequential damages or lost profits. 

The user will be solely responsible for any infringements that may be incurred or damages that may be caused by the use of the Website and / or LEAD2TEAM Content, being exonerated from any liability. The user is solely responsible for any claim or legal action, judicial or extrajudicial, initiated by third parties against LEAD2TEAM or against the user based on the user's use of the service, or for the information that may have been sent to LEAD2TEAM by any means. The user assumes all expenses, costs and compensation incurred by LEAD2TEAM as a result of such claims or legal actions.

10. SITE MANAGEMENT AND OUTAGES.

The management and administration of the website will be in charge of Lead2Team, with address at C/ Llacuna 162-164, 08018, Barcelona (Barcelona) and CIF B72909146. Lead2Team will be responsible for the technical operation, maintenance and updating of the site, ensuring its correct functioning and the security of the information.

Lead2Team reserves the exclusive right to add, modify or delete any content of the Site at any time and without prior notice. This includes, but is not limited to, text, graphics, images, videos and other multimedia materials.

The access and use of the Site by users must comply with the terms and conditions established by Lead2Team, as well as with the applicable legislation. Lead2Team may, at its discretion, suspend or terminate the access of any user who fails to comply with these rules.

Lead2Team will implement appropriate security measures to protect the Site and the information contained therein against unauthorized access, alteration, destruction or any form of misuse. However, Lead2Team cannot guarantee absolute security due to the nature of the Internet.

Lead2Team will perform updates and maintenance of the site to improve its functionality and security. These activities may require the site to be temporarily out of service which need not necessarily be communicated.

Therefore, we cannot guarantee that the Site and products will be available at all times. In this regard, Lead2Team reserves the right to change, revise, update, suspend, discontinue or modify the Site or products at any time or for any reason without notice. You agree that Lead2Team shall have no liability for any loss, damage or inconvenience caused by your inability to access or use the Site during any downtime or interruption of the Site or the Products.

Nothing in these terms and conditions shall be construed as an obligation to maintain, but as a right reserved to Lead2Team.

11. INTELLECTUAL PROPERTY INFRINGEMENTS

Lead2Team reserves the right to exercise all civil and criminal actions to which it is entitled in case of violation or infringement of intellectual or industrial property rights, including compensation for damages.

If any user or third party considers that any of the contents of the Site involves a violation of the rights of protection of intellectual property, it must immediately notify Lead2Team, through the contact details available on the Site, providing the relevant information.

This clause is designed to protect Lead2Team's intellectual property rights and to ensure the proper and lawful use of the contents of the Site.

12. MODIFICATIONS TO THE TERMS AND CONDITIONS

We reserve the right to change, modify or delete content on the Site at any time or for any reason, at our sole discretion and without prior notice. Similarly, we reserve the right to modify or discontinue all or any part of the Site or products without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Site.

13. APPLICABLE LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with the laws of Spain. Any dispute related to them shall be submitted to the competent Courts and Tribunals of Barcelona.
